Recitals
تمهيد
AppDeen AI rents senior, pre-trained AI employees and helps companies become AI-ready.
حيث إن مزوّد الخدمة يؤجّر موظفي ذكاء اصطناعي متمرّسين ومدرَّبين مسبقاً، ويساعد الشركات على الجاهزية لاعتماد الذكاء الاصطناعي؛
The Client wishes to rent the AI employees and services listed in Schedule A on the terms of this Agreement.
وحيث إن العميل يرغب في استئجار موظفي الذكاء الاصطناعي والخدمات المبيّنة في الملحق (أ) وفق أحكام هذه الاتفاقية؛
The parties therefore agree as follows. These recitals form part of this Agreement. Capitalised terms have the meaning given in the clause where they first appear.
فقد اتفق الطرفان على ما يلي، وتُعدّ هذه المقدمة جزءاً لا يتجزأ من هذه الاتفاقية، ويكون للمصطلحات المعرّفة المعنى المحدّد لها في البند الذي ترد فيه أول مرة.
Services
AppDeen AI provides the AI employees and services listed in Schedule A (the "Services"). Each AI employee works in a private workspace set up for the Client and is overseen by AppDeen AI's human team.

الخدمات
يقدّم مزوّد الخدمة موظفي الذكاء الاصطناعي والخدمات المبيّنة في الملحق (أ) (ويُشار إليها فيما يلي بـ«الخدمات»). ويعمل كل موظف ذكاء اصطناعي ضمن مساحة عمل خاصة تُهيَّأ للعميل، ويخضع لإشراف الفريق البشري لدى مزوّد الخدمة.
Term
This Agreement starts on the Effective Date and continues month to month. Either party may end it with 30 days' written notice. The minimum term is 3 months from the Effective Date.

المدة
تسري هذه الاتفاقية اعتباراً من تاريخ النفاذ، وتستمر من شهر إلى شهر. ويحق لأي من الطرفين إنهاؤها بموجب إشعار خطي مسبق مدته 30 يوماً، على ألّا تقل مدتها عن 3 أشهر من تاريخ النفاذ.
Fees and payment
The Client pays the fees in Schedule A. Monthly fees are invoiced in advance at the start of each month and one-time fees on signature. Invoices are payable within 14 days in Jordanian dinars. Fees exclude 16% general sales tax, which is added to each invoice. AppDeen Credits are prepaid and used up by usage.

الرسوم والدفع
يدفع العميل الرسوم المبيّنة في الملحق (أ). وتصدر فواتير الرسوم الشهرية مقدّماً في بداية كل شهر، وفواتير الرسوم التي تُدفع لمرة واحدة عند التوقيع. وتُستحق الفواتير الدفع خلال 14 يوماً بالدينار الأردني. ولا تشمل الرسوم ضريبة المبيعات العامة البالغة 16%، والتي تُضاف إلى كل فاتورة. وتُدفع أرصدة AppDeen مقدّماً وتُستهلك بحسب الاستخدام.
Client responsibilities
The Client provides the knowledge, tool access and approvals the Services need, names one point of contact, and reviews work that waits for approval within a reasonable time.

التزامات العميل
يلتزم العميل بتوفير المعلومات وصلاحيات الوصول إلى الأدوات والموافقات التي تتطلبها الخدمات، وبتسمية شخص واحد للتواصل، وبمراجعة الأعمال التي تنتظر موافقته خلال مدة معقولة.
Human checkpoints
The Client decides which actions run automatically and which wait for the Client's approval. AppDeen AI does not send, publish or spend on the Client's behalf outside those settings.

نقاط المراجعة البشرية
يحدّد العميل الإجراءات التي تُنفَّذ تلقائياً وتلك التي تتوقف على موافقته. ولا يقوم مزوّد الخدمة بالإرسال أو النشر أو الإنفاق نيابةً عن العميل خارج نطاق هذه الإعدادات.
Confidentiality
Each party keeps the other's confidential information private, uses it only for this Agreement, and shares it only with people who need it and are bound by the same duty. This duty continues for 3 years after the Agreement ends.

السرية
يلتزم كل طرف بالمحافظة على سرية المعلومات السرية العائدة للطرف الآخر، وبعدم استخدامها إلا لأغراض هذه الاتفاقية، وبعدم الإفصاح عنها إلا لمن يحتاج إليها من الأشخاص الملتزمين بواجب السرية ذاته. ويستمر هذا الالتزام لمدة 3 سنوات بعد انتهاء الاتفاقية.
Data protection
Client data stays in the Client's private workspace. It is not shared with other customers and is not used to train another customer's AI employee. Only de-identified lessons may be used to improve AppDeen AI's skills library. Each party complies with the Personal Data Protection Law No. 24 of 2023 and other applicable law.

حماية البيانات
تبقى بيانات العميل ضمن مساحة العمل الخاصة به، ولا تُشارَك مع عملاء آخرين، ولا تُستخدم في تدريب موظف ذكاء اصطناعي عائد لعميل آخر. ولا يجوز أن يُستخدم في تطوير مكتبة المهارات لدى مزوّد الخدمة إلا الدروس المستفادة بعد تجريدها من أي بيانات تعريفية. ويلتزم كل طرف بأحكام قانون حماية البيانات الشخصية رقم (24) لسنة 2023 وسائر التشريعات النافذة.
Intellectual property
Deliverables made for the Client belong to the Client once paid in full. AppDeen AI keeps all rights in its platform, AI employees, skills, playbooks and know-how, including improvements made while providing the Services.

الملكية الفكرية
تؤول ملكية المخرجات المُعدّة للعميل إليه عند سداد مقابلها كاملاً. ويحتفظ مزوّد الخدمة بجميع الحقوق في منصته وموظفي الذكاء الاصطناعي والمهارات وأدلة العمل والخبرات الفنية العائدة له، بما في ذلك أي تحسينات تُجرى عليها أثناء تقديم الخدمات.
Quality and liability
AppDeen AI performs the Services with reasonable skill and care. AI output can contain errors, so the Client reviews work before relying on it for high-stakes decisions. Except for breaches of confidentiality or data protection, each party's total liability is limited to the fees paid in the 3 months before the claim. Neither party is liable for indirect or consequential loss.

الجودة والمسؤولية
يؤدي مزوّد الخدمة الخدمات بمهارة وعناية معقولتين. ولمّا كانت مخرجات الذكاء الاصطناعي قد تتضمن أخطاء، يلتزم العميل بمراجعة الأعمال قبل الاعتماد عليها في القرارات ذات الأثر الجسيم. وباستثناء حالات الإخلال بالسرية أو بحماية البيانات، تقتصر المسؤولية الإجمالية لكل طرف على قيمة الرسوم المدفوعة خلال الأشهر الثلاثة السابقة للمطالبة. ولا يُسأل أي من الطرفين عن الأضرار غير المباشرة أو التبعية.
Termination
Either party may end this Agreement at once by written notice if the other materially breaches it and does not fix the breach within 15 days of notice. On termination the Client pays fees due up to the end date, and AppDeen AI returns or deletes Client data within 30 days on request.

الإنهاء
يحق لأي من الطرفين إنهاء هذه الاتفاقية فوراً بموجب إشعار خطي إذا أخلّ الطرف الآخر بها إخلالاً جوهرياً ولم يعالج هذا الإخلال خلال 15 يوماً من تاريخ إشعاره به. وعند الإنهاء، يدفع العميل الرسوم المستحقة حتى تاريخ الإنهاء، ويعيد مزوّد الخدمة بيانات العميل أو يحذفها خلال 30 يوماً بناءً على طلبه.
Governing law
This Agreement is governed by the laws of the Hashemite Kingdom of Jordan. The courts of Amman have exclusive jurisdiction.

القانون الواجب التطبيق
تخضع هذه الاتفاقية لقوانين المملكة الأردنية الهاشمية، وتختص محاكم عمّان دون غيرها بالنظر في أي نزاع ينشأ عنها.
Language
This agreement is made in Arabic and English. If the two texts differ, the Arabic text prevails.

لغة الاتفاقية
حُرّرت هذه الاتفاقية باللغتين العربية والإنجليزية، وفي حال وجود أي اختلاف بين النصّين يُعتمد النص العربي.
General
This Agreement and its schedules are the entire agreement between the parties. Changes are valid only in writing signed by both parties. Notices go to the addresses above or by email to the representatives named.

أحكام عامة
تشكّل هذه الاتفاقية وملاحقها كامل الاتفاق بين الطرفين. ولا يُعتدّ بأي تعديل عليها ما لم يكن خطياً وموقّعاً من الطرفين. وتُرسَل الإشعارات إلى العناوين المبيّنة أعلاه أو بالبريد الإلكتروني إلى الممثلين المذكورين.

Made in two originals, each in Arabic and English, one for each party. Signed by the authorised representatives of both parties on the dates below.
حُرّرت هذه الاتفاقية من نسختين أصليتين باللغتين العربية والإنجليزية، بيد كل طرف نسخة للعمل بموجبها، ووقّعها الممثلون المفوّضون عن الطرفين في التواريخ المبيّنة أدناه.
